Apple mfi program license agreement

These Payment Terms govern your payments to participate in the MFi Program. We may update these Payment Terms from time to time at our discretion. We will provide you with notice of the updated Payment Terms by posting the updated Payment Terms on this page, and the Payment Terms will be effective upon posting. Please check back regularly to review the current Payment Terms. We also reserve our right to change our fees, currencies, payment methods, billing schedules, and collection methods. If we make these changes associated with the MFi Program, we may provide you with separate and advance notice of the change.

By accepting the Payment Terms, you represent that the applicant to the MFi Program is a business and not an individual consumer.

Automatic Renewal Notice. Your selected payment method will be charged the annual program fee of USD $99.00 plus any applicable taxes and fees, upon Apple's acceptance of your application to join the MFi Program. "Acceptance" occurs when Apple accepts your application and sends you the MFi License for signature.

Your membership will automatically renew annually from your date of enrollment in the MFi Program. The "date of enrollment" is the date when Apple countersigns your MFi License. One year from your date of enrollment, and at the start of each subsequent annual term, your selected payment method will again be charged USD $99.00 plus any applicable taxes and fees.

Your membership in the MFi Program is subject to your recurring payment in full of the annual program fees. All MFi Program fees paid under these Payment Terms are final and non-refundable, including partial refunds.

Selected Payment Method Information and Payment. You agree that you are a duly authorized representative of the applicant to the MFi Program and you agree to pay the annual program fees, including any applicable taxes and fees.

You agree that we may store your selected payment method information on file to pay the annual program fees. We will charge the annual program fees to your selected payment method, and if your selected payment method is also in your Apple Wallet, we may charge your selected payment method in your Apple Wallet using Apple Pay. Your selected payment method must be capable of making payment in US dollars. You are responsible for maintaining a valid selected payment method on file and accurate selected payment method information. In accordance with local law, we may participate in an account updater service that automatically updates your selected payment method information for you.

If we cannot charge your selected payment method for any reason (such as expiration or insufficient funds), you remain responsible for any uncollected amounts, and we may attempt to charge your selected payment method again, attempt to charge another payment method that you have on file with us, request that you provide another payment method, not accept or enroll you in the MFi Program, or terminate your MFi License. If your payment is unsuccessful, you will receive a notice from us.

Notwithstanding, we reserve the right, without notice to you, to suspend or cancel payment, request alternative forms of payment, bill alternative forms of payment, and suspend access to your MFi Portal account if we suspect your selected payment method is obtained, used, or associated with an account unlawfully, fraudulently, abusively, in connection with other manipulative behavior, or otherwise in violation of these Payment Terms.

In order to access your MFi Portal account, you will need an Apple ID and password. You are fully responsible for the confidentiality of your MFi Portal account information, including your Apple ID and password, for managing access to your account, and for any activities that occur through your account, including the activities of any person with access your account such as your employees. You will immediately notify us of any security issues related to your MFi Portal account.

Taxes. We may invoice you, and you agree to pay, for any applicable taxes, levies, duties, costs, charges, deductions or any charges of equivalent effect, as imposed by any tax authority on or in connection with your annual program fee for the MFi Program, including, without limitation, sales tax, use tax, value added tax, goods and services tax, service tax, and consumption tax. In the event that any amount payable by you to us is subject to any applicable withholding or similar taxes imposed by any tax authority (“Withholding Tax”) and that you are required to collect and remit such Withholding Tax, you shall gross up the relevant payment to us, so that after you deduct and remit the applicable Withholding Tax, you shall pay and we shall receive the same amount as originally invoiced by us or due to us.

Termination. Your enrollment in the MFi Program will automatically renew annually from your date of enrollment until either party terminates your MFi License. You may terminate your MFi License any time by visiting your Company Account Management page in the MFi Portal and initiating termination at least five (5) business days (excluding U.S. holidays) before each annual billing date. Upon termination of your MFi License, you will need to comply with the termination obligations in the MFi License.

Disputes. Any disputes regarding your annual fee must be raised with us. You must pay your MFi Program fee even though a dispute may be pending.

Misc. You agree that we have the right, without liability to you, to disclose any data and/or information to law enforcement authorities, government officials, and/or a third party, as we believe reasonably necessary or appropriate to enforce and/or verify compliance with any part of these Payment Terms (including but not limited to our right to cooperate with any legal process relating to your activities in connection with the MFi Program, and/or a third-party claim that such activities are unlawful and/or infringe a third party's rights). These Payment Terms are incorporated into your MFi License and shall survive the expiration or termination of your MFi License.
